2. About Finela
Finela products and services are owned and operated by Finela Limited (hereinafter referred to as "Finela" or "we," or "our," or "us").
Finela is the AI operating layer for private markets, turning fragmented institutional data and tools into trusted, real-time intelligence.
3. Evolving AI Technology & Service Modifications
As generative artificial intelligence technology, models, and regulations evolve, Finela may:
Add, upgrade, modify, suspend, or terminate services.
Adjust technology, methodology, and performance.
Conduct internal or external testing for new AI capabilities and service features.
Changes may be made to ensure compliance with laws and regulations, enhance security, or improve service performance. Users will be notified where required.
4. Description of Services
Finela provides vehicle-trained, large language model (LLM) based tools and services that deliver financial intelligence for institutional users. These capabilities support investment professionals in research, analysis, and decision-making across the private markets ecosystem.
Finela's services include, but are not limited to:
Vehicle and Financial Analysis: AI-assisted review of vehicle documents, models, and market data via the Collaborative Workbench.
Institutional Benchmarking: Comparison of vehicle performance, terms, and risk exposure against market peers.
Private Market Intelligence: Real-time insights into fundraising activity, deal flow, and capital trends.
Vehicle Indexing & Search: Secure indexing of vehicle documentation from integrated cloud storage (e.g., Google Drive, OneDrive) for rapid retrieval and analysis.
AI-Supported Due Diligence: Structured analysis and summarization of financial and legal documentation within isolated firm environments.
5. No Financial, Investment, or Regulatory Advice
Finela provides AI-generated insights for informational purposes only. Our services do not:
Provide investment advice or recommend securities.
Offer legal, tax, or compliance guidance.
Guarantee the accuracy or applicability of outputs for business decisions.
Users must independently validate insights before making financial decisions.
6. Data Use & Model Training
Finela does not use Firm data, uploaded files, or workbench interactions to train, fine-tune, or otherwise modify any public or shared version of its models.
Each firm's environment operates in strict isolation. All processing occurs within that secure environment, and firm data (including vehicle indices) is logically partitioned to prevent cross-tenant access.
Finela may use aggregated technical metrics, such as system performance or error logs, solely to maintain platform reliability and security. These metrics never include or reveal Firm content.
We do not sell, share, or monetize Firm data for any third-party purpose.
7. Software, Access & Automatic Updates
Finela's services include:
LLM models, APIs, enterprise integrations, and web-based tools.
Automated software updates to maintain performance, security, and compliance.
Some features may include open-source components governed by their respective licenses.
8. Business Accounts & Firm Control
Access to the Platform is granted following a formal contract between Finela and the Firm. Upon execution, Finela invites a designated Firm Administrator who has full control over:
Inviting and managing team members and assigning role-based permissions.
Feature usage, vehicle indexing settings, and firm reporting.
Data visibility and security configurations across the Firm's account.
The Firm Administrator is responsible for maintaining the security of the firm account and managing internal access rights.
9. Use Restrictions
Users agree not to:
Develop, train, or enhance competing AI models using Finela's insights, datasets, or architecture.
Reverse engineer, extract, or replicate Finela's LLM structure, models, or proprietary methodologies.
Redistribute, sell, or monetize Finela-generated insights without explicit authorization.
Use Finela for competitive intelligence, data scraping, or unauthorized AI research.
Violations may result in permanent access termination and legal action.
10. Limitation of Liability
Finela provides all services "as is", without guarantees. We are not responsible for:
Investment losses, financial miscalculations, or regulatory failures due to reliance on our AI models.
Missed market opportunities or incorrect predictions.
Indirect, incidental, or consequential damages related to our services.
Users assume full responsibility for their decisions.
11. Privacy & Data Protection
Finela upholds strict data privacy and compliance standards. We do not sell personal or financial data to third parties.

12. Third-Party Integrations
Finela integrates with various third-party platforms across multiple categories, including:
VDRs (Virtual Data Rooms): For secure document access and due diligence.
Portfolio/Fund Management: For vehicle performance tracking and analytics.
Accounting/ERP Systems: For financial data synchronization.
Communication Tools: Including cloud storage (Google Drive, OneDrive), email, and collaboration platforms.
CRM Systems: For relationship and deal management.
Cap Table Management: For equity and ownership tracking.
We do not control the accuracy of third-party data sources, and users should independently verify external content before acting on insights.
13. Changes to Terms
Finela reserves the right to modify or update these Terms as laws, AI technology, and industry standards evolve.
Users will be notified of major changes where required, and continued use constitutes acceptance of the revised Terms.
14. Termination of Access
Finela may suspend or terminate access for users who:
Violate these Terms.
Engage in prohibited model extraction or unauthorized data use.
Use Finela for illicit financial activities, fraud, or regulatory circumvention.
